General Terms and Conditions

Introduction
GuestButler B.V. ("GuestButler", "we", "us", or "our") provides an AI-powered guest communication platform for the hospitality sector. GuestButler B.V. is registered in the Netherlands and located at Johan Cruijff Boulevard 65-71, 1101 DL Amsterdam.
These general terms and conditions apply to all use of the GuestButler platform and related services. By using our platform, you accept these terms.
Definitions
- Platform: The website, application, and services of GuestButler, accessible via guestbutler.ai and related channels.
- You/your: The user of the platform and related GuestButler services, including hoteliers, vacation park managers, property managers, and other hospitality operators.
- Service: The services offered by GuestButler via the platform, including AI-powered guest communication, feedback collection, and messaging functionalities.
- Agreement: The contractual relationship established between you and GuestButler B.V. upon use of the platform and related services, including these general terms and conditions and any separate service agreements.
- Guest Data: Personal data of end users (guests) processed via the platform on your behalf as a hospitality operator.
Who Do These Terms Apply To?
- These terms apply to all use of the platform and related services by customers of GuestButler B.V.
- If you use the platform on behalf of an organisation, you represent that you are authorised to accept these terms on behalf of that organisation.
- We reserve the right to amend these terms. In the event of material changes, we will notify you via email or a notice on the platform, stating the effective date.
Right of Use
- GuestButler grants you a limited, non-transferable, and non-exclusive right to use the platform in accordance with these terms and the agreement concluded between the parties.
- To use the platform optimally, you must have a stable internet connection and a device that meets the system requirements specified by GuestButler.
- You are responsible for all activities that take place via your account. Access credentials are strictly confidential and must not be shared with unauthorised third parties.
- In the event of loss, theft, or (suspected) unauthorised use of your login credentials, you must notify GuestButler immediately at support@guestbutler.ai.
- You may not use the platform for purposes other than those for which it is intended, or in a manner that causes harm to GuestButler or third parties. Prohibited use includes:
- disrupting or undermining the functioning of the platform;
- disclosing or reverse-engineering the source code;
- violating the privacy of guests or other users;
- sending unsolicited messages or spam via the platform.
Operation and Availability
- GuestButler aims to keep the platform continuously available and functioning properly. However, we cannot guarantee uninterrupted availability due to maintenance, updates, or circumstances beyond our control.
- Planned maintenance will be announced in advance where possible. In the event of unplanned disruptions, we aim for the shortest possible restoration time.
- GuestButler reserves the right to modify, extend, or limit the platform's functionalities, provided this does not materially affect the core functionalities for which you have entered into an agreement.
Software Updates
- GuestButler regularly provides updates to improve the performance, security, and functionality of the platform.
- If you use a mobile application, you are responsible for installing available updates in a timely manner. GuestButler is not liable for issues arising from the use of outdated versions of the application.
Processing of Guest Data
- When using the platform for guest communication, GuestButler acts as a data processor of guest data within the meaning of the General Data Protection Regulation (GDPR). You act as the data controller for that data.
- The terms for the processing of guest data are set out in the data processing agreement that forms part of your service agreement with GuestButler.
- You are responsible for informing your guests about the processing of their personal data via the GuestButler platform, to the extent required by applicable law and regulations.
Liability
- GuestButler is not liable for indirect damage, consequential damage, lost profits, or loss of revenue arising from the use of or inability to use the platform.
- If GuestButler is held liable for direct damage, this liability is limited to the amount you paid to GuestButler in the three months preceding the damaging event. This limitation does not apply in cases of intent or wilful misconduct on the part of GuestButler.
- GuestButler is not liable for damage arising from the use of AI-generated content sent via the platform. You are responsible for monitoring and reviewing communications generated by the platform.
- You indemnify GuestButler against all claims from third parties, including guests, arising from your use of the platform in breach of these terms or applicable law and regulations.
- Damage must be reported to GuestButler in writing as soon as possible, and no later than 30 days after discovery.
Intellectual Property Rights
- All intellectual property rights in the platform, including source code, software, designs, texts, and other content, are owned by GuestButler B.V. or its licensors.
- Without prior written consent from GuestButler, you may not copy, modify, distribute, sell, or otherwise exploit the platform or any part thereof.
- Data and content you provide via the platform remain your property. You grant GuestButler a limited licence to process this data to the extent necessary for the performance of the service.
Suspension and Termination
- GuestButler reserves the right to suspend or terminate your access to the platform in the event of:
- breach of these terms or the concluded agreement;
- misuse of the platform;
- non-payment of amounts owed;
- actions that cause harm to GuestButler, other customers, or third parties.
- Upon termination of the agreement, you are entitled to the transfer of your data in a commonly used format, to the extent technically feasible, during a period of 30 days following termination.
- You may terminate the agreement in accordance with the notice periods set out in your service agreement.

Privacy
- GuestButler attaches great importance to the protection of personal data. Our privacy policy explains how we handle the personal data of users of our website and platform. The privacy policy is available at guestbutler.ai/privacy.
Miscellaneous
- These terms are governed by Dutch law.
- Disputes will be submitted exclusively to the competent court in Amsterdam, unless the parties agree to use alternative dispute resolution.
- If any provision of these terms is declared invalid or unenforceable, the remaining provisions remain in full force and effect.
- These terms constitute the entire agreement between you and GuestButler B.V. with respect to the use of the platform, and supersede all prior agreements or understandings on this subject.
